Terms and Conditions for Trade Missions

Definitions

In these terms and conditions: “EIC” means the Energy Industries Council, being the organizer of the Trade Mission. “Delegate” means the Person(s) appointed by the Missioner to attend the Trade Mission. “Missioner” means the firm, company or other entity entering into the contract with EIC to attend the Trade Mission. “Trade Mission” means the trade mission described in EIC’s brochure and the Missioner’s application.

The Trade Mission

EIC may change the content or timing of the Trade Mission without notice and without liability or obligation to refund any monies to the Missioner. EIC may cancel the contract because the Trade Mission will not occur, or is undersubscribed or oversubscribed or for considerations of safety or security or other reasons outside EIC’s control. In the event of cancellation, EIC will make a refund after deduction of its expenses and have no other liability.

EIC reserves the right to increase its charges to reflect increases in its costs. If such increase is greater than 30% of the original charge, the Missioner may cancel the contract. EIC will make a refund after deduction of its expenses and have no other liability.

EIC may cancel the contract and retain any sums previously paid if any payment is not paid on the due date. EIC also has the right to claim the balance of its charges even in the event of cancellation on this ground.

Security

Although the destination and location of the Trade Mission are considered secure, EIC does not provide security arrangements and Delegates are responsible for the security of their persons and property. EIC will not be responsible for any claims for theft, loss or damage to property. The Missioner will reimburse EIC for any emergency assistance extended to Delegates

Medical

The Missioner is responsible for arranging appropriate travel insurance covering accident benefits and medical costs. EIC is not responsible for providing or organizing first aid or medical assistance. The Missioner will reimburse EIC for any emergency assistance extended to Delegates

Indemnity

The Missioner will indemnify and hold EIC harmless against any liability for sickness, injury or death to its Delegate(s), notwithstanding the sole or contributory negligence or breach of duty of EIC. The Missioner will indemnify EIC against liability to third parties to the extent caused or contributed to by the wrongful acts or omissions of the Delegate(s).

Limitations and exclusions of liability

EIC shall have no liability for any loss of profit or business opportunity or damage to reputation or reimbursement of abortive expenses or purely financial loss suffered by the Missioner. The liability of EIC to the Missioner shall be limited to the amounts actually paid by the Missioner to EIC with respect to the Trade Mission. These limitations and exclusions apply to liability in contract, tort, negligence and under any other legal principle to the maximum extent permitted by law.

Law and Jurisdiction

The contract is subject to English law excluding any rule that would cause another law to apply, and any dispute shall be referred exclusively to the courts of England and Wales. The
